Summary

CHS has an exciting opportunity in our Corporate Development and M&A (“Corp Dev”) group. We are looking for an Associate who will partner closely with leadership across the enterprise to facilitate execution of strategic initiatives through mergers/acquisitions, divestitures, joint ventures, and select capital investments and commercial partnerships. The Associate will report to the Senior Manager, Corporate Development and be heavily involved in all stages of the transaction lifecycle, including but not limited to strategic planning, valuation, market research and analysis, due diligence, deal structuring, negotiation, execution, post-project review, and portfolio management.

 

The ideal candidate will be a financial professional with experience in M&A transactions, including financial modeling, leading cross-functional due diligence teams, and other ad hoc analyses. The candidate must be self-motivated, inquisitive, detail-oriented, able to work independently, think strategically, and have excellent executive communication skills, both verbal and written.

 

Responsibilities

  • Screen investment opportunities, which will include building complex financial models; performing industry research; and collaborating with internal stakeholders to identify potential synergies, alternative scenarios, risks, opportunities, and other enterprise-wide impacts.
  • Draft presentations for business leaders, committees, executive leadership, and board of directors summarizing financial and strategic merits of projects to assist in developing investment recommendations, negotiation strategies, and transaction updates.
  • Facilitate and track due diligence efforts focused on risk identification and mitigation; business integration and separation; and coordination of internal and external resources, such as legal counsel, investment bankers, accountants, and other consultants.
  • Assist Corp Dev and broader project teams in drafting, reviewing, and negotiating terms of definitive agreements and other transaction documents involving terms such as valuation adjustments; development of representations, warranties, indemnities; and disclosure schedules
  • Assist in the continuous improvement of CHS’s transaction process to ensure consistent quality of diligence, evaluation of investment risks and opportunities, and reduce the scope/cost of externally sourced diligence services.
  • Offer consultative support to business teams in evaluating investment opportunities.
  • Perform ad hoc market research and analysis to develop insights and impacts on CHS’s businesses and markets.
  • Maintain administrative resources and tools, including deal trackers and industry contact lists.

Minimum Qualifications (required)

  • Bachelor's degree in finance, accounting, or related field
  • Minimum of 2-5 years of experience in investment banking, private equity, corporate development, transaction advisory or M&A and divestiture experience

Additional Qualifications

  • Knowledge of and direct application of GAAP
  • Prior direct work experience:
    • Participation in large-scale and complex business unit and enterprise projects
    • Building relationships and communicating with all levels of a large organization
    • Leading large cross-functional groups with conflicting priorities
    • Managing multiple projects simultaneously
  • Proficient with MS Office tools and advanced Excel functionality including financial modeling, data management, and complex formulas
  • Industry experience in energy, agriculture, or other commodities business is preferred #LI-WB1

Actual pay offered will vary based on multiple factors which may include, without limitation, experience, education, training, specialized skills and certifications, minimum wage/salary requirements under local law.
